The Role: Corporate Associate (Capital Markets) | San Francisco, CA

We are seeking a skilled and driven Corporate Associate to join one of our prestigious clients. This role offers the opportunity to work on high-profile capital markets transactions in a collaborative and innovative environment.

In this position, you will:

• Advise public companies on SEC compliance, disclosure requirements, governance, and exchange matters.
• Represent issuers or investment banks in capital market transactions, including IPOs, SPACs, direct listings, and follow-on offerings.
• Provide strategic legal counsel to support clients in the technology and life sciences sectors.

• Experience: At least 3+ years of experience advising public companies or investment banks, particularly in capital markets transactions.
• Credentials: JD from an accredited law school and active California bar membership or eligibility to waive in.
• Expertise: Knowledge of SEC compliance, disclosure regulations, governance, and stock exchange requirements.
• Communication: Exceptional oral and written communication skills to effectively advise clients and collaborate with internal teams.
• Client Focus: A passion for working with technology and life sciences companies and an ability to navigate complex regulatory landscapes.
